Terms of Service

1. Acceptance and contracting party
These Terms of Service form a binding contract between you ("the Merchant") and Merktop LLC, a remote-first Delaware limited liability company ("Merktop", "we", "us"). By creating an account or using the platform you accept these terms in full. If you are entering into this contract on behalf of a company you represent that you have authority to bind that company. Our registered agent's address is available on request to legal@merktop.com.
2. The service
Merktop is a software-as-a-service platform that lets the Merchant build and operate an online store, manage products and orders, accept payments through Stripe Connect and integrate additional sales channels. We grant the Merchant a non-exclusive, non-transferable right to use the platform during the subscription term. Merktop may evolve the platform and add or remove non-essential features at any time; substantial changes that materially reduce the service will be notified with at least 30 days notice.
3. Eligibility and account
To use the platform you must be at least 18 years old, have legal capacity to contract and provide accurate identification, billing and tax information. You are responsible for all activity under your account and for keeping credentials confidential. You must notify us at security@merktop.com without undue delay if you suspect unauthorised access.
4. Subscriptions, fees and taxes
Plans, prices and limits are described on the pricing page. Subscriptions renew automatically until cancelled. Fees are exclusive of taxes; where Merktop is required to collect VAT, sales tax or similar levies on the Merchant's behalf, those amounts will be added to the invoice. Plans paid annually are non-refundable after the 14-day money-back window applicable to first-time subscriptions. If the Merchant qualifies as a consumer under EU Directive 2011/83 the statutory 14-day right of withdrawal applies, except where the service has been fully performed with the consumer's prior consent and acknowledgement of loss of the right.
5. Payments and merchant of record
Payments accepted through your storefront are processed by Stripe, Inc. under a direct-charge Stripe Connect arrangement. Funds settle to your Stripe Connect account; Merktop deducts a platform fee per transaction as stated on the pricing page. The Merchant is the merchant of record for sales to end customers: you are responsible for the legal compliance of the sale, the delivery of goods or services, customer support, refunds and chargebacks. Merktop is not a party to the transaction with your end customer.
6. Merchant responsibilities
You are solely responsible for (a) the lawfulness of the products and content sold through your storefront; (b) compliance with consumer protection law, including pre-contractual information, the right of withdrawal and warranty obligations in the EU; (c) accurate taxation and invoicing; (d) the protection of your customers' personal data as data controller (Merktop acts as your processor for that data); and (e) any licences required to operate your business.
7. Acceptable use
You agree not to use the platform to sell prohibited or restricted goods (firearms, controlled substances, counterfeit items, etc.), to engage in fraud or money laundering, to violate third-party intellectual property, to send unsolicited commercial communications without consent, to attempt to access other tenants' data, or to circumvent security or rate limiting. Merktop may suspend accounts that violate this clause without prior notice when necessary to protect the platform.
8. Intellectual property
Merktop retains all rights in the platform, its source code, design system and trademarks. The Merchant retains all rights in the content uploaded to the storefront (products, photos, copy, customer data) and grants Merktop a worldwide, royalty-free licence to host, copy and display that content only as necessary to operate the service for the Merchant.
9. Term and termination
You may cancel your subscription at any time from your account settings; the service remains active until the end of the paid period. We may suspend or terminate the account for material breach of these terms, non-payment after 15 days, sustained inactivity or any cause that puts the platform at risk. On termination you have 30 days to export your data; after that period Merktop may delete the data, subject to legal retention obligations.
10. Disclaimers and limitation of liability
To the maximum extent permitted by applicable law the platform is provided "as is" without warranties of any kind. Merktop's aggregate liability for any claim arising out of or in connection with the service is capped at the amount paid by the Merchant to Merktop in the 12 months preceding the event giving rise to the claim. Nothing in these terms excludes liability that cannot be excluded under mandatory law, including liability for gross negligence, wilful misconduct, or harm to consumers where statutory rights apply.
11. Governing law and jurisdiction
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Any dispute will be brought exclusively before the courts of Wilmington, Delaware. Notwithstanding the foregoing, if you contract as a consumer with habitual residence in the European Union you also benefit from any mandatory protections of your home jurisdiction, including the right to bring an action in your local courts.
12. Changes and contact
We may update these terms to reflect changes in the service or in applicable law. Material changes will be notified at least 30 days in advance by email or via a banner in the dashboard; continued use after the effective date constitutes acceptance.
